These Terms and Conditions (Terms) govern your access to and use of the website located at www.sginccpa.com (the “Site”) operated by SG Inc CPA (“SG Inc CPA,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.
These Terms do not govern the professional accounting, tax, bookkeeping, payroll, or advisory services provided by SG Inc CPA to its clients. Those services are governed by separate engagement letters and professional services agreements entered into with each client. Nothing in these Terms creates, modifies, or supersedes any professional services agreement.
1. Use of the Site
1.1 Permitted Use
You may access and use the Site for lawful purposes and in accordance with these Terms. You may view, download for caching purposes only, and print pages from the Site for your personal use, subject to the restrictions set out in these Terms.
1.2 Prohibited Conduct

7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SG INC CPA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF SG INC CPA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall SG Inc CPA’s total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed the amount, if any, paid by you to SG Inc CPA in the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, SG Inc CPA’s liability shall be limited to the maximum extent permitted by law.
8. Indemnification

9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas. You consent to the personal jurisdiction of such courts.
Notwithstanding the foregoing, SG Inc CPA reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop the infringement of its intellectual property rights or other irreparable harm.
